Terms of Service

1. Agreement

These Terms of Service ("Terms") form a binding agreement between you and Lawn Tool LLC ("Lawn Tool LLC," "The Lawn Tool," "we," "us," or "our") and govern your access to and use of our websites, applications, and services (together, the "Service"). By creating an account, or by accessing or using the Service, you agree to these Terms. Our collection and use of personal information is described in our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of a business or organization, you represent that you are authorized to bind that entity to these Terms.

2. What The Lawn Tool is

The Lawn Tool is a technology platform that helps homeowners, communities, and homeowners' associations connect with independent lawn-care and outdoor-service businesses ("Service Providers"), and helps those businesses manage and grow their work. We provide software, listings, measurements, estimates, scheduling, messaging, and payment facilitation.

The Lawn Tool is not a lawn-care company and does not itself perform lawn-care or outdoor services. Service Providers are independent third parties; they are not employees, agents, partners, or representatives of The Lawn Tool, and we do not direct or control their work.

3. Accounts

To use certain features you must create an account. You are responsible for keeping your credentials confidential and for all activity under your account. You agree to provide accurate, current, and complete information and to keep it updated, and to notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk to the Service or its users.

4. Subscriptions and payments

Some features are offered on paid plans or subscriptions. Plans, fees, billing cycles, free trials, renewal terms, and applicable taxes are disclosed at the point of purchase. Payments are processed by our third-party payment processor (Stripe); by providing a payment method you authorize us and our processor to charge it for the fees you incur.

Unless stated otherwise, paid subscriptions renew automatically at the then-current price until cancelled. You may cancel at any time through your account; cancellation takes effect at the end of the current billing period, and, except where required by law or expressly stated, fees already paid are non-refundable. We may change prices or plan features on prospective notice; continued use after a change takes effect constitutes acceptance of the new price.

5. Independent Service Providers

The Lawn Tool is a venue that connects users with independent Service Providers. We do not perform, supervise, guarantee, or warrant any service performed by a Service Provider, and we are not a party to any agreement you make with them. Any quote, hiring, scheduling, performance, quality, pricing, payment, licensing, insurance, or dispute relating to actual lawn-care or outdoor work is solely between you and the Service Provider.

You are responsible for evaluating whether a Service Provider is appropriate for your needs, including verifying their licensing, insurance, and qualifications where relevant. To the fullest extent permitted by law, The Lawn Tool is not responsible or liable for the acts, omissions, conduct, work quality, property damage, injury, or other losses arising from any Service Provider or from your dealings with them.

6. Measurements and estimates

Lawn measurements, property data, pricing estimates, and Service Provider listings made available through the Service are provided for informational and convenience purposes only. They are generated from third-party data and automated tools, may contain errors, and may not be exact. They are not a quote, appraisal, or guarantee, and should be independently verified before you rely on them.

7. Messaging terms (SMS)

Text notifications are optional and off by default. By turning on the "Text notifications" setting in your account and verifying your mobile number, you give your express consent to receive recurring text messages from The Lawn Tool — for example, account and security alerts, new-lead, quote, and status updates, and appointment, job, and billing notifications. Consent to receive these messages is not a condition of any purchase, and is never required to create an account, request a quote, or complete a transaction.

Message frequency varies. Message and data rates may apply. Turn text notifications off any time in your account settings, reply STOP to any message to opt out, and HELP for help. We do not sell, rent, or share your mobile number or SMS opt-in data with third parties for their own marketing. Mobile carriers are not liable for delayed or undelivered messages, and your use of messaging is also subject to your wireless carrier's terms.

8. Acceptable use

You agree not to:

• use the Service in violation of any law or these Terms;
• misuse, disrupt, or interfere with the Service or other users;
• attempt to gain unauthorized access to any account, system, or data;
• scrape, harvest, copy, or resell the Service or its content except as expressly permitted;
• upload unlawful, harmful, fraudulent, infringing, or misleading content;
• impersonate any person or misrepresent your affiliation; or
• use the Service to send unsolicited or unlawful communications.

We may investigate and take appropriate action — including removing content and suspending accounts — for any violation.

9. Your content

You retain ownership of the content and information you submit to the Service ("User Content"). You grant The Lawn Tool a worldwide, non-exclusive, royalty-free license to host, store, use, display, and process your User Content as needed to operate and improve the Service. You are responsible for your User Content and represent that you have the rights to submit it and that it does not violate these Terms, any law, or any third-party right.

10. Intellectual property

The Service — including its software, design, text, graphics, logos, and trademarks — is owned by The Lawn Tool or its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for its intended purpose, subject to these Terms. No other rights are granted; you may not copy, modify, distribute, reverse-engineer, or create derivative works from the Service except as permitted by law.

11. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind — whether express, implied, or statutory — including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or secure, that defects will be corrected, or that any information, measurement, estimate, or listing is accurate or complete. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

12. Limitation of liability

To the fullest extent permitted by law, The Lawn Tool and its owners, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to your use of (or inability to use) the Service or to any dealings with a Service Provider — whether based in contract, tort, or any other theory, and even if advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless The Lawn Tool and its owners, employees, and affiliates from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your User Content, your violation of these Terms or any law, or your dealings with any Service Provider or other user.

14. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access at any time, with or without notice, if you violate these Terms, if we discontinue the Service, or as we reasonably determine necessary to protect the Service or its users. Provisions that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnification, and governing law — will survive.

15. Changes to the Service and these Terms

We may modify or discontinue all or part of the Service at any time. We may also update these Terms from time to time; when we do, we will revise the "Last updated" date above and, for material changes, provide reasonable notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree, stop using the Service.

16. Governing law and disputes

These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Before filing any claim, you agree to first contact us at support@thelawntool.com and attempt in good faith to resolve the dispute informally for at least thirty (30) days. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in Shelby County, Tennessee, and you and The Lawn Tool consent to the personal jurisdiction of those courts.

17. General

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. These Terms, together with any policies referenced here, are the entire agreement between you and The Lawn Tool regarding the Service. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
